1) Acceptance of Terms

By purchasing, downloading, accessing, or using any product or service offered by Footprints Technologies LLC (“Footprints,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not purchase or use the products.

2) Products and License Grant

Products sold by Footprints are licensed, not sold, unless explicitly stated otherwise. Subject to your compliance with these Terms and the applicable License & Terms of Use included with a product, Footprints grants you a limited, non-exclusive, non-transferable, revocable license to use the product for your internal business purposes.

3) Prohibited Uses

Unless expressly permitted in the applicable License & Terms of Use for the product, you may not:

• Copy, reproduce, publish, or distribute the product (in whole or in part) to any third party;
• Resell, sublicense, rent, lease, or transfer the product or access to the product;
• Post the product to public or private repositories, file-sharing services, forums, or marketplaces;
• Remove copyright, trademark, attribution, or license notices.

4) Manual Digital Delivery

Delivery of digital products is performed manually. Delivery is typically provided via a secure download link or other method we specify.

• Orders placed during normal business hours: delivered within 4 hours of purchase.
• Orders placed outside normal business hours: delivered by the next business morning.

Delivery timing may be affected by verification needs, fraud checks, missing or incorrect customer contact information, or technical issues outside our control. If you do not receive delivery within the above timeframes, contact support@footprintslicensing.com with your receipt details.

5) Pricing, Taxes, and Payment Processing

Prices are listed at checkout. Payments are processed by our payment processor (e.g., Stripe). You agree to provide accurate contact and payment information. You are responsible for any applicable taxes, duties, or fees required by your jurisdiction unless otherwise stated at checkout.

6) Refunds and Chargebacks

Because our products are licensed digital materials and delivered electronically, all sales are generally final once delivery has been made, except where required by law.

If you believe you were charged in error, did not receive delivery, or received the wrong item, contact support@footprintslicensing.com promptly. Initiating a chargeback without contacting us first may result in suspension of access and revocation of the license, where permitted by law.

7) Customer Responsibilities

You are responsible for maintaining the confidentiality of any download links, credentials, or access methods provided to you. You agree not to share access with unauthorized users. You are responsible for ensuring your systems can open standard file formats (e.g., ZIP, PDF).

8) Intellectual Property

All products, content, trademarks, and materials are owned by Footprints or its licensors and are protected by intellectual property laws. No rights are granted except as expressly stated in these Terms and the applicable product license.

9) Disclaimers

Products are provided “as is” and “as available.” We disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the products will produce any specific business, financial, legal, or operational outcomes.

10) Limitation of Liability

To the maximum extent permitted by law, Footprints will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities. Footprints’ total liability for any claim relating to a product will not exceed the amount you paid for that product.

11) Termination and Enforcement

We may suspend or terminate access and revoke the license if we reasonably believe you violated these Terms or the applicable product license. Unauthorized distribution or resale is grounds for immediate termination and may result in legal action.

12) Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above indicates when changes were posted. Continued purchase or use after updates constitutes acceptance of the updated Terms.

13) Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the licensed products, the website, or any transaction between you and Footprints Technologies LLC shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles.

Any legal action or proceeding arising out of or relating to these Terms, the licensed products, the website, or any transaction between you and Footprints Technologies LLC shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and the parties consent to the personal jurisdiction and venue of such courts.
